Q: Do I need to file notice of issuance with Delaware?

We formed a Delaware corporation. Our founders reside in California and the business will operate there. We will issue securities to officers, exempt under Rule 506. We will file Form D and notice under 25102(f). Do we have to file notice of the issuance in Delaware as well?

Q: How can I sue an inmate who falsely accuses me of a crime that did not happen?

He called me a racist on the charging document and stated I beat him up, but the two officers with me are black and both wrote official reports saying this did not occur. Furthermore a black nurse wrote a medical report that this inmate had no injuries that he reported from me.
