Largo, FL asked in Business Law for Florida

Q: Moving an asset from a dissolved corp

Several years ago I had a Florida corporation, of which I was sole owner. A house was titled to the corporation. I dissolved the corporation but failed to address the real property asset. I now have a buyer for the property and am at a loss about to proceed. Should I transfer the asset into my name as I was sole owner of the corporation and then sell it to the buyer? Thoughts?

Thank you.

Lev F.

A: My thoughts are that you need to go see a local real estate attorney for a full discussin about this. If there were debts of the corporation that were not paid, this could be a real problem.

A: You should have fully wound-up the affairs of the corporation by transferring assets and paying debts. It may still be possible to do this, but I agree with Mr. De Groot that you need an attorney to advise you on this.
