Q: A foreigner company had an exclusive sales agreement with US company,

A foreigner company had an exclusive sales agreement with US company, the US company was acting as selling entity for this foreigner entity for more than one year, now the foreigner company discovered that the US company was adding 30% extra margin from suppliers. The foreigner sent many request (email) asking for a revised pricing as it’s not able to sell. The foreigner company wants to cancel this sales agreement that contains a clause not allowing her from dealing directly with a Chinese supplier that the US was working with. Can this result to a legal issues, I know that market is protected by offer and demand therefore can really a US company that is not existing in that country and neither its sales activities will be affected has the right to do that, thanks
