Orlando, FL asked in Business Law for Florida

Q: Private corp closes its doors 2006. Do agency relationships, POA, Atty in Fact, etc still exist/valid?

Corp not officially dissolved. Status w/secretary of state is active but noncompliance for not filing annual report since 2006. No new corp in it's place. Bus licenses not renewed. Major shareholder completed Personal Bankruptcy in 2009 including both corp tax and bus debt.

A: When a corporation is dissolved, the last board of directors is responsible. You needed to go get legal advice back then instead of asking a question on the internet and getting an answer without sufficient facts for an answer. People frequently do not know the right questions to ask and do not give enough facts for an attorney to know enough about the situation to answer fully.
