Panama City, FL asked in Business Formation for Florida

Q: Can an authorized member of an LLC remove another authorized member from bank account?

My boyfriend and I started a Handyman business in Jan 2021. At the time, an LLC was established and he was listed as the single member. We decided to set it up that way until it was decided I was staying in FL with him. I do all of the accounting and I was a joint owner on the business bank account from Jan 2021 when it was established as a single member LLC. I was added to the existing LLC Jan 2022 when we filed the annual report and we are both currently listed as an authorized member. We do not have an operating agreement. The articles of the corporation were not modified, nor was a new FEIN number obtained. He has presented something to the bank and I have been removed from the banking account. He is stating I have no rights to his business. Is there anything that can be done now? He is refusing to establish an operating agreement now. Have I just lost my part of the business because he says he doesn't want me part of it anymore?

A: It appears you may have to file suit to establish your rights. Confer with an attorney.
