Queens, NY asked in Business Formation and Business Law for New York

Q: Filing a DBD in NYC for clothing brand vs legal business name

I have a clothing brand that uses a different name than the business legal name which is an inc / s-corp. If selling goods online( own website with brand name) and "maybe" to retailers (brick & mortar) in the future, will I need to file a DBA for the brandname that appears on the garments/ social media? If so, is the fee for the DBA in NY every county you do business or just where the business is located?

A: My name is Attorney Damien Bosco. My law office is in Queens County, Long Island City, across from Manhattan. Depending on the matter, I handle matters throughout New York.

Thank you for asking your question.

Generally, you would not need a d/b/a (an assumed name for a company) for a brand name, but a trademark of it. However, if you are using a different name for your company that happens to be the brand name, then you will likely need file to operate under an assumed name in New York if the brand name used on the garments, website, and social media differs from your business's legal name. This registration will allow you to legally operate under a brand name that isn't the same as the corporation's name, which is essential for clarity and compliance in branding and marketing.
