Q: I recently had a company offer to buy me out of a contract in return for cash and a hold harmless. I tentatively

accepted their offer contingent on us agreeing to and signing a suitable written agreement. However, all attempts to work with them on the agreement were met with excuses and delays until one day the CEO of the company and his in house general counsel tried to hot box me into signing a grossly inadequate agreement which had terms and conditions we had never even discussed. When I refused to sign and mentioned the discrepancies the CEO with his attorney present told me I should sign the document while his witnesses were there and that they would make all the necessary changes after. The witnesses being the attorney and his accountant who both far as I know are there every day? My question is was it ethical for his attorney to be party to what I would consider a fraudulent bad faith attempt to coerce me into signing a contract that did not reflect what I had tentatively agreed to? If not would filing a complaint with the state bar be appropriate?
