Q: Seeking legal counsel for persistent issues within the governing board of a public non-profit organization (NPO).

Seeking legal counsel regarding persistent issues within the governing board of a public non-profit organization (NPO). Despite concerted efforts internally over the past year, concerns surrounding unethical conduct, breaches of bylaws, and financial mismanagement continue to plague the organization.

Specifically, we have encountered instances of unethical behavior, including the dissemination of misinformation leading to unfair bidding practices, as well as repeated violations of established policies and bylaws such as failure to attend scheduled meetings. Moreover, there are significant concerns regarding financial mismanagement, including instances of excessive spending and abrupt changes in budget allocation without proper justification.

Having exhausted all internal avenues for resolution, we are now seeking legal guidance to better understand the legal implications of these documented allegations and to determine the most appropriate course of action moving forward.
