A: Since a trademark is a business asset that represents the goodwill associated with the goods or services, the right to use the mark can be assigned only along with the business goodwill. The assignment is a simple agreement between the assignor (the trademark owner) in which the mark is assigned in return for payment, and recites that the mark is assigned along with all goodwill associated with it.

It the mark is registered with the USPTO, the assignment agreement should be recorded with the USPTO accompanied by a standard cover sheet identifying the parties.
