Brooklyn, NY asked in Business Formation, Business Law and Intellectual Property for New York

Q: Do I need any business licence or resale licence to drop ship on Shopify or Amazon FBA?

1 Lawyer Answer

A: Some of the licenses and permissions you need include the following: (1) Certificate of Authority by New York State Department of Finance to collect sales tax: (2) Resale Certificate [if applicable] from Dept of Finance; (3) You must file quarterly Sales Tax Returns Form ST-100; (4) There are other licenses and restrictions depending on your category of products [e.g., health and beauty, food products, supplements, etc.]; (5) Federal Tax ID; and (6) You may also need to obtain Letters of Authorization from licensed distributors for gated products, or Brand Authorization Letters or licensing agreements with certain brand owners. You should also have good compliance files on all your products, including manufacturer or distributor invoices which comply with Amazon's Invoice Policies. Your invoices must meet the following compliance requirements: "dated within the last 180 days or reflect the delivery or purchase of products within the last 180 days. All documents must be valid and unexpired. All documents must be clear and legible. No information other than pricing may be redacted."
