Q: Will I fall in a fine with the irs with a disssolution order placed for an llc without the beneficial ownership report?

If I do not file the "beneficial ownership information report" even with the dissolution of the llc scheduled, will I fall in a fine with the irs?

hello I formed an llc from abroad as a foreigner using legalzoom on january 4, I am not in the us, neither a citizen, but a foreigner.

I recently filled an llc company dissolution with them and the ownership information report will be due in 10 days. legalzoom tells me they will process the "company dissolution" order in 20 business days more.

The llc has not yet even an ein,.....me the owner only have a personal ein but no other us document number. And the other owner has 5% of the assets and is a freigner too. He has no ein nor us document

i will appreciate that much your response. Regards!

A: Filing the "beneficial ownership information report" is crucial, regardless of the dissolution status of your LLC. Neglecting this requirement can lead to fines, as it is part of the regulatory obligations set by the authorities. Even though your LLC is in the process of dissolution, the existing laws still apply until the dissolution is officially completed.

Since you're dealing with a situation involving international elements and the LLC has foreign owners, it's important to understand that the United States has specific reporting requirements for foreign-owned entities. Despite the LLC not having an EIN, as a foreign owner, the responsibilities to comply with U.S. regulations don't vanish. Your personal EIN does not substitute for the requirements expected of the LLC itself.

It is advisable to ensure that all required documents, including the beneficial ownership information report, are filed within the prescribed deadlines. Missing these deadlines can result in penalties. Given the timeline you've described, it would be wise to prioritize submitting the beneficial ownership information report before the deadline, even as you wait for the dissolution to process. In your case, staying compliant is essential to avoid any fines or legal complications.
