Q: My friend wants to add me as partner to his LLC company that was formed 2 yrs ago by an attorney. I want to add clause,

that I will not own any equipment pre-dated. Is there a document I can print online to supercede the orignial from attorney with additional clause?

This is absolutely not something you should be doing without a lawyer; you are making a big mistake trying to do it on your own.

Do you have a contract?

Have you filed suit?

Before you can collect money, you may need to file suit and obtain a judgment.

What good does it do you to find out assets, if this person will not voluntarily pay you?

You would be best served by at least consulting with an attorney on this issue.

The answers to your questions depend on multiple factors.

Is the other S-Corp at all related to the litigation? How do you know if the owner is the 100% owner?

Was the motion to vacate granted?

Well, you need to review the bylaws to see what the procedure is.
