Partnership is a matter of contract. A minor is not necessarily binding on the contract he or she signs until he ratifies it after he is no longer minor.

Generally if you're not paying for the item and re-selling it you don't collect the sales tax.

You'd have to check your state, county, and city to be sure.

Q: For an LLC in Florida... can the name of the company be XYZ Ltd. with Ltd being the designation of an LLC.

I know FL Stat. 608.406 1(a) states, "The world 'limited' may be abbreviated as "ltd." but I am not sure if that means as part of writing out Limited Liability Company, or if it can be used as the designation completely. Thanks

You will not have an active LLC until the date of filing so you cannot hold yourself out as conducting business under that name until it is active. Can the registered agent represent the corporation's officers within the state of Florida? It is unclear what you mean by "represent"; to act as those officers' attorney, and in particular to represent them in court, the agent would have to be licensed to practice law in Florida.

Limited liability is available for owners of corporations and LLCs. Tax treatment is different for each. The best bet would be for you to consult with an attorney or accountant in your area, who practices in the area of business formation.

You can draft the bylaws to provide for both CEO and president to be separate offices in the corporation, but a single individual acting in both capacities. Whether this is a wise decision or not depends on your particular circumstances.
