You do not need a trust agreement to form a 501(c)(3) organization. You need to file as a non profit corporation and follow the instructions on the IRS paperwork for applying for non-exempt status.

I would say that you are already doing what you can to resolve the situation. If they will not honor the deal ask them to cancel the contract and take your business to another carrier.
