I apologize, but I am not entirely sure what type of relationship you are describing. Your description would include many different scenarios. Most importantly would be any contractual obligations of the parties. I have no doubt the subsidiary has options, but I don't know what may be the best one.

If the LLC Is going to offer services for which a license is required, it must be a PLLC. MCL 450.9201, 9202.
So I want to start a business and sell a lot of things, but most want to create products using superhero logos from D.C comics and marvel. However am not sure if its okay for me to use it without having to ask permission or without me breaking rules of trademark.

No. You yourself (or someone else) can be the registered agent as long as you maintain a physical address as your company's registered office where you can be personally found for purposes of physically serving you with important legal papers.

If the basis for the lawsuit is for something that happened before you formed the LLC, then the LLC shield does not protect you from personal liability.
If I were to go through with this, What Ubisoft owned content would be protected under copyright, trademark and Patent and would the original ideas, designs and characters be included under this. I would really like to understand so that I don't commit any copyright infringement.

If you are looking to organize a PA LLC it will require a street address for the Registered Office in PA. That can be an office or something simple like a UPS Store "suite" address, or you can hire a Registered Agent in PA.
